Terms of Service

1. Acceptance of These Terms

These Terms govern your access to the CHARTON platform. By accessing, registering for, or using the Service, you agree to be bound by these Terms. You represent that you have the legal capacity to enter into a binding agreement. The Service is intended only for users who are at least 18 years old.

2. Description of the Service

CHARTON is a software platform to help users research, create, test, deploy, monitor, and manage trading strategies. Features include: (a) generate strategy concepts using AI; (b) analyze market conditions; (c) run backtests and simulations; (d) connect to third-party brokers; (e) activate “Agents”; (f) monitor performance. CHARTON is a technology provider — NOT a broker, dealer, investment adviser, or financial institution.

3. Eligibility

You may use the Service only if doing so is lawful in your jurisdiction. You are solely responsible for determining whether your use complies with applicable local laws and regulations. CHARTON reserves the right to restrict access at any time without notice.

4. Account Registration

You must provide accurate and complete information when registering. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account.

5. Connected Accounts & Third-Party Services

The Service may interoperate with third-party brokers, exchanges, data providers, and other services (“Third-Party Services”). Your use of those services is governed by their own terms and policies. CHARTON does not control and is not responsible for the accuracy, availability, or conduct of any Third-Party Services.

No Investment Advice (Section 6): The Service is provided for informational, research, and technological purposes only. Nothing on the platform constitutes investment, financial, trading, legal, or tax advice. CHARTON does not assess your personal financial situation, risk tolerance, or suitability, and owes no fiduciary duty to any user.
Trading Risk Disclosure (Section 7): Trading financial instruments involves substantial risk of loss and is not appropriate for all investors. Prices can be highly volatile, and losses may exceed your initial investment. Past performance is not indicative of future results. You should only trade with capital you can afford to lose entirely.
AI and Model Output Disclaimer (Section 8): Output generated by AI features may be incomplete, inaccurate, biased, or misleading if used without independent verification. CHARTON does not guarantee the correctness, completeness, or fitness of any AI-generated content. You are solely responsible for reviewing, testing, and validating any output before acting on it.
Backtesting Disclaimer (Section 9): Hypothetical or simulated results do not reflect actual trading results. Backtests may benefit from hindsight, curve fitting, look-ahead bias, and other distortions. They are provided for research and evaluation purposes only and should not be relied upon as a prediction of future performance.

10. Market Data Disclaimer

Market data and other content provided through the Service may be delayed, incomplete, or inaccurate. CHARTON does not guarantee the accuracy, timeliness, or completeness of any market data and is not liable for any losses arising from reliance on it.

11. Automated Trading & Agents

By activating an Agent or automated strategy, you acknowledge that: (a) automation may operate without real-time human intervention; (b) configuration errors, software bugs, or market conditions may lead to undesired trading behavior; (c) significant losses may occur before an issue is detected. You are solely responsible for setting appropriate position limits, monitoring activity, and disabling automations when needed.

12. System Failures

The Service may experience outages, latency, bugs, or degraded performance due to software issues, third-party failures, or infrastructure events. Financial markets may also experience extreme conditions, halts, or illiquidity. CHARTON does not guarantee uninterrupted, error-free availability of the Service.

13. Software Bugs & Beta Features

The Service may contain defects or errors. Certain features may be labeled as beta, experimental, or early access and may be incomplete, unstable, or subject to change without notice. Use of such features is entirely at your own risk.

14. Your Responsibilities

You are responsible for: all trading decisions made using the Service; monitoring your accounts and open positions at all times; ensuring the accuracy of your strategy configurations; supervising any automated activity; and maintaining compliance with all applicable laws and broker requirements.

15. Acceptable Use

You may not use the Service to:

  • Manipulate markets, execute wash trades, or engage in spoofing or layering.
  • Circumvent or attempt to bypass any security, rate limiting, or access controls.
  • Reverse engineer, decompile, or extract source code from the platform.
  • Introduce malware, viruses, or any harmful code.
  • Commercially exploit or resell the Service without express written authorization.

16. Fees & Billing

Certain features require a paid subscription or one-time payment. Subscriptions renew automatically unless cancelled prior to the renewal date. Fees are generally non-refundable except as required by applicable law. You are responsible for all applicable taxes associated with your purchase.

17. Intellectual Property

The Service, including all software, designs, trademarks, and content, is and remains the exclusive property of CHARTON and its licensors. You are granted a limited, revocable, non-exclusive, non-transferable license to use the Service solely for your personal, non-commercial purposes in accordance with these Terms.

18. User Content

You retain ownership of strategies, configurations, and other content you create (“User Content”). By submitting User Content, you grant CHARTON a non-exclusive, worldwide, royalty-free license to use, process, store, and display it solely for the purpose of operating and improving the Service.

19. Data Use

CHARTON may collect usage data, interaction logs, and platform telemetry for the purpose of improving the Service. CHARTON may use aggregated, anonymized data for analytics, research, and AI model training purposes.

20. Privacy and Cookies

Your use of the Service is also governed by our Privacy Policy and Cookie Policy, which are incorporated into these Terms by reference.

21. Confidentiality

No internet-based service can be guaranteed to be completely secure. CHARTON implements reasonable technical and organizational safeguards; however, you are responsible for securing your own computing environment, credentials, and API keys.

22. Availability

CHARTON reserves the right to modify, discontinue, or suspend any part of the Service at any time, with or without notice. CHARTON will not be liable for any loss resulting from the unavailability of the Service.

23. Termination

You may stop using the Service at any time. CHARTON may suspend or terminate your access for any reason, including violation of these Terms, with or without prior notice. Upon termination, your right to use the Service ceases immediately.

24. Disclaimers of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy. CHARTON does not warrant that the Service will meet your requirements or be uninterrupted.

25. Limitation of Liability

To the maximum extent permitted by law, CHARTON will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, arising from your use of or inability to use the Service. CHARTON’s aggregate liability for any claim arising out of these Terms is capped at the greater of $100 USD or the fees you paid in the three months preceding the claim.

26. Indemnification

You agree to defend, indemnify, and hold harmless CHARTON and its officers, employees, and affiliates from any claims, losses, liabilities, or expenses (including attorneys’ fees) arising from your use of the Service, your User Content, or your violation of these Terms.

27. Force Majeure

CHARTON is not liable for any failure or delay in performance resulting from events beyond its reasonable control, including natural disasters, cyberattacks, infrastructure outages, regulatory actions, or acts of war.

28. Changes to Terms

CHARTON may revise these Terms at any time by posting an updated version. We will endeavor to notify you of material changes. Your continued use of the Service after any update constitutes your acceptance of the revised Terms.

29. Governing Law

These Terms are governed by the laws of the jurisdiction in which CHARTON is incorporated (to be finalized upon entity registration). Any disputes shall be resolved in the competent courts of that jurisdiction.

30. Miscellaneous

These Terms constitute the entire agreement between you and CHARTON with respect to the Service. If any provision is found unenforceable, the remaining provisions remain in full force. Failure to enforce any right is not a waiver. You may not assign your rights under these Terms without CHARTON’s prior written consent.
